1. Introduction

These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“User” or “you”) and Copariot Labs (“we”, “us”, or “our”) governing your access to and use of PicWe Wallet (the “Service”).

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree, you must not use the Service.

2. Definitions

For the purposes of these Terms:

  • “Account Abstraction” / “ERC-4337” means a smart contract-based account model enabling programmable wallet logic.
  • “UserOperation” means a transaction-like object submitted under ERC-4337.
  • “Bundler” means a third-party service that aggregates and submits UserOperations to the blockchain.
  • “Paymaster” means a third-party service that may sponsor or condition gas payments.
  • “EntryPoint Contract” means the core smart contract that processes UserOperations.
  • “Passkey” means a cryptographic credential stored on the user’s device (e.g., WebAuthn, Secure Enclave, TPM).
  • “Non-Custodial Wallet” means a wallet where the user retains full control of private keys or signing authority.

3. Nature of the Service

3.1 PicWe Wallet is a non-custodial smart contract wallet interface built on Ethereum and compatible blockchain networks using ERC-4337.

3.2 The Service provides:

  • Local signing via Passkey-enabled devices

  • Interface to blockchain networks

  • Integration with third-party infrastructure (Bundlers, Paymasters, DApps)

    3.3 Copariot Labs:

  • Does NOT store or control your private keys or Passkeys

  • Does NOT hold or custody your digital assets

  • Is NOT a counterparty to your transactions

    3.4 All transactions are:

  • Signed locally on your device

  • Executed on decentralized blockchain networks

4. User Eligibility

You represent and warrant that:

  • You are at least the age of majority in your jurisdiction
  • You have full legal capacity to enter into these Terms
  • Your use of the Service complies with all applicable laws

5. Key Management and Security

5.1 You retain exclusive control over your Passkey and cryptographic credentials.

5.2 You acknowledge:

  • Loss of Passkey = permanent loss of access

  • Copariot Labs cannot recover, reset, or access your wallet

    5.3 You are solely responsible for:

  • Device security

  • Backup and authentication methods

  • Preventing unauthorized access

    5.4 Copariot Labs shall not be liable for any loss resulting from:

  • Device theft, loss, or compromise

  • Malware or phishing attacks

  • User error or negligence

6. ERC-4337 Risk Disclosure (Critical Section)

6.1 Architectural Complexity

ERC-4337 involves multiple independent components:

  • Smart contract wallets
  • EntryPoint contract
  • Bundlers
  • Paymasters

These components may be operated by different entities and may introduce:

  • Compatibility issues
  • Systemic risks
  • Implementation inconsistencies

6.2 Bundler Risks

You acknowledge that Bundlers:

  • Are third-party services not controlled by Copariot Labs
  • May refuse, delay, reorder, or censor transactions

We are not responsible for:

  • Failed transaction inclusion
  • Delays or reordering

6.3 Paymaster Risks

Paymasters may:

  • Impose conditions or restrictions
  • Change fee models
  • Cease operation without notice

Risks include:

  • Transaction failure
  • Unexpected fees
  • Conditional execution

6.4 Smart Contract Wallet Risks

Your wallet is governed by smart contract code, which may:

  • Contain bugs or vulnerabilities
  • Be subject to upgrade risks

Examples include:

  • Reentrancy vulnerabilities
  • Access control flaws
  • Upgrade misconfigurations

6.5 EntryPoint Risks

The EntryPoint contract is critical infrastructure. Any flaw may result in:

  • Loss of funds
  • Execution failures

6.6 UserOperation Risks

UserOperations:

  • May fail validation or execution
  • May incur inaccurate gas estimation

6.7 Emerging Technology Risk

You acknowledge that ERC-4337 is an evolving standard and may:

  • Change over time
  • Exhibit unpredictable behavior

7. Blockchain and DeFi Risks

7.1 Blockchain transactions are:

  • Irreversible

  • Subject to network conditions

    7.2 The Service may interact with third-party protocols, including DeFi applications.

You assume all risks including:

  • Smart contract exploits
  • Liquidity risks
  • Price volatility
  • Oracle failures

Copariot Labs is not responsible for any losses.

8. Fees

8.1 You are responsible for:

  • Gas fees

  • Bundler fees

  • Paymaster-related costs

    8.2 We may introduce additional fees with prior notice.

9. Prohibited Uses

You agree not to use the Service for:

  • Money laundering
  • Fraud or scams
  • Terrorist financing
  • Sanctions evasion

We reserve the right to restrict access where legally required.

10. Disclaimer of Warranties

To the fullest extent permitted by law:

The Service is provided “AS IS” and “AS AVAILABLE”.

We disclaim all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

We do not guarantee:

  • Continuous availability
  • Security or error-free operation

11. Limitation of Liability

To the maximum extent permitted by law:

Copariot Labs shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, assets, or data

Total liability shall not exceed:

Fees paid by you to Copariot Labs in the past 12 months (if any)

12. Indemnification

You agree to indemnify and hold harmless Copariot Labs from any claims arising out of:

  • Your breach of these Terms
  • Your misuse of the Service
  • Your violation of applicable laws

13. Third-Party Services

The Service may interact with third-party systems including:

  • DApps
  • Blockchain networks
  • Infrastructure providers

We are not responsible for their actions, security, or availability.

14. Suspension and Termination

We may suspend or terminate access:

  • For legal compliance
  • For system maintenance
  • Due to security risks

15. Intellectual Property

All rights, title, and interest in the Service remain with Copariot Labs.

16. Modifications

We may modify these Terms at any time.

Continued use constitutes acceptance of the updated Terms.

17. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Singapore.

Any dispute shall be resolved by arbitration in Singapore unless otherwise required by law.

18. Severability

If any provision is held invalid, the remaining provisions shall remain in full force.

19. Entire Agreement

These Terms constitute the entire agreement between you and Copariot Labs.
